Article I – Name

The name of this organization shall be the Stone Hollow Neighborhood Association (SHNA)

Article II – Office

The association’s principal office shall be the residence of the Association President.  The Executive Committee may
designate another location at its discretion

Article III – Boundaries

The boundaries of the Association are the D/FW Regional Airport Board on the north, American Boulevard on the
east, Pipeline Road on the south, and the Euless city line on the west represented by the Twin Creek Estates and J.
E. Whitener Estates



Article IV – Purpose

The purpose of the Stone Hollow Neighborhood Association is to provide an organized framework to promote,
preserve, and enhance the quality of life in the Stone Hollow neighborhood by:
•        Extending opportunities to residents, landowners, and other interested parties through education about
neighborhood community affairs and local topics of immediate interest;
•        Elevating and promoting the image of the neighborhood, including the common areas bordering American
Boulevard and Pipeline Road;
•        Encouraging the neighborhood to become involved in community affairs;
•        Promoting a sense of pride and identity among the association members;
•        Promote and enforce the deed restrictions outlined in the covenants and restrictions for Stone Hollow set forth
by FW-SH, Ltd.;
•        Promote and enforce the Fort Worth city code and traffic division rules regarding all types of compliance;
•        Establishing a direct line of communication with members of the City Council;
•        Providing a forum for the airing of grievances, and;
•        Familiarizing residents and landowners about the association and its purposes;

Article V – Membership

Section 1.  There shall be two categories of membership in the Association:  Regular and Associate

Section 2.  A regular member of SHNA shall be any person over the age of eighteen residing and/or owning property
within the Association’s boundaries

Section 3.  An associate member of SHNA shall be any person, firm, or corporation who neither resides, owns
property, or does business within the neighborhood, but nevertheless maintains an interest in the Association and its
purposes.  Associate members shall have the privilege of the floor but no vote

Article VI- Policies

Section 1.  The name of the Association or names of any members in their official capacities shall not be used in any
connection with a commercial concern, or with any partisan interest or for any purpose not appropriately related to
the promotion of the objectives of the association

Section 2.  The Association shall never be operated for the primary purpose of profit and no part of its net earnings
or membership fees shall be used to benefit private individuals

Article VII – Dues

Section 1.  Annual dues for each category or membership shall be recommended by the Executive Committee and
approved by a majority vote of the members in attendance at the meeting in which a dues change is considered.  
Dues shall be paid by December 31st for the following calendar year.  New members shall pay prorated dues for the
months between their initial membership and December 31.  Members shall be considered in arrears if their dues are
not paid by January 31st

Section 2.  SHNA may engage in fundraising activities related to its purposes.  The Executive Committee may accept
on behalf of the Association any contribution, gift, bequest, or device for the general purposes or for any special
purpose of the Association.

Section 3.  The annual dues for the Association memberships will be set as follows:

      Regular membership:   $50 yearly
      Associate membership $50 yearly

Section 4.  The Treasurer shall maintain an account at a local bank or credit union for the purpose of depositing
dues and remitting payments for the sole interest of the Association

Article VIII – Meetings

Section 1.  Regular meetings of SHNA shall be held at least quarterly and may be held more often as determined by
the Executive Committee.  Special meetings may be called by the President or any members of the executive
committee.  Meetings will be held on the first Monday of the calendar quarter at 6:00pm

Section 2.  Notice of meetings will be provided in writing, identifying the time and place of the meeting, at least 7 days
before the meeting is to be held.  Such notice of meetings may be hand delivered, mailed, or e-mailed

Section 3.  The members present at the meeting shall represent a quorum

Section 4.  The Executive Committee shall meet as required, usually on a monthly basis.  These meetings shall be
open to interested members of the Association

Article IX – Executive Committee

Section 1.  The five (6) elected officers and the immediate Past President shall constitute the Executive Committee of
the Association

Section 2.  The Executive Committee shall supervise the affairs of the Association in accordance with its stated
purposes and policies; set the agendas for the regular meetings; transact any business between meetings of the
Association and report thereon at the next meeting; and make recommendations to the general membership on
matters before the Association

Article X – Officers

Section 1.  The officers of the SHNA shall be the President, Vice President, Secretary, Treasurer, Police Department
Relations Officer and Community Relations Officer

Section 2.  The officers shall assume their duties on January 1st and shall serve for one (1) year, or until their
successors are duly elected.  Officers shall not serve in the same office for more than two (2) consecutive terms.  For
the initial establishment of the Stone Hollow Neighborhood Association on November 1, 2006, Officers that are
elected will remain in office until December 31, 2007

Section 3.  Any regular member of the SHNA is eligible for election to office

Section 4.  Officers shall be elected at the October meeting by a simple majority vote of the regular members present

Section 5.  At the October meeting, the President shall appoint a nominating committee of at least three (3)
members.  The nominating committee shall present a slate of one or more nominees for each office at the October
meeting.  Nominations from the floor shall be allowed at this time also.  

Section 6.  Vacancies in office shall be handled as follows:
•        In the event the President is unable to complete his or her term, the Vice President shall become the President
for the unexpired portion of the term
•        For other vacancies in offices other than the President, the Executive Committee shall appoint a member to fill
the unexpired term with a simple majority vote
•        Unexcused absences as determined by the Executive Committee from three (3) consecutive meetings shall
constitute a vacancy of office.  

Section 7.  Upon retirement from office, each officer shall deliver to his/her successor, all records, papers, and other
property belonging to the Association

Article XI – Duties of Officers

Section 1.  The President shall be the principal officer of the Association and shall:
•        Preside at all meetings of the Association
•        Be the sole spokesperson for the SHNA, except that the Executive Committee may designate another member
to serve in this capacity as necessary
•        Appoint committee members and chairman with the approval of the Executive Committee
•        Sign with the Secretary or any other proper officer of the SHNA authorized by the Executive Committee, all
contracts and other legal documents
•        Sign with the Treasurer all checks, contracts, and other legal documents
•        Serve as the Association’s primary representative to the City of Fort Worth

Section 2.  The Vice President shall:
•        Act as special assistant to the President and represent the President whenever so designated
•        Be empowered to sign any documents as authorized by the Executive Committee.  This may be done in the
event of emergency during the absence of the President or due to the President’s inability or refusal to act
•        Be responsible for obtaining sponsorship or member input into the establishment and maintenance of the
common areas bordering American Boulevard and Pipeline Road.  This includes working with contractors to receive
the best rates and the city for water service
•        Perform all such duties as requested by the President or Executive Committee

Section 3.  The Secretary shall:
•        Keep minutes of the proceedings of all meetings of the Association
•        Preserve in file all records of value to the Association
•        Sign with the President all contracts and legal documents
•        Be responsible for preparing and distributing the Association’s newsletter, including the creation and
maintenance of the Association’s website.  This should include a list of contractors and other services that would be
useful for members and associate members
•        Maintain a current roster of membership indicating the name, address, e-mail address, and telephone number
of each member as well as his or her classification of membership
•        Conduct correspondence of the Association
•        Maintain Articles of Incorporation through the Secretary of the State of Texas
•        Perform other duties as requested by the President or Executive Committee

Section 4.  The Treasurer shall:
•        Have charge of all funds of the SHNA and their deposit in a bank or credit union in SHNA’s name as approved
by the Executive Committee
•        Be responsible for collecting annual dues from members and associate members
•        Pay all bills and disperse funds as authorized by the Executive Committee
•        Present financial status reports at each meeting
•        Keep itemized and complete records of all receipts and expenditures in a permanent file
•        Perform other such duties as requested by the President and Executive Committee

Section 5.  The Police Department Relations Officer shall:
•        Maintain ongoing contact with the Neighborhood Police Officer and report Association concerns and requests
•        Ensure the Neighborhood Police Officer is involved in all appropriate quarterly Association meetings
•        Be responsible for acting as a neighborhood watch captain, and promote crime prevention awareness in the
neighborhood
•        Report traffic violations to the police department traffic division, including traffic code violations
•        Work with the Transportation and Public Works Department to develop a comprehensive traffic management
plan for the neighborhood
•        Perform such other duties as requested by the President or Executive Committee

Section 6.  The Community Relations Officer shall:
•        Maintain ongoing contact with the Fort Worth City Code Compliance office and report violations.  This includes
voluntary participation in the city’s Code Rangers Program
•        Monitor and enforce the covenants, conditions and restrictions for the Stone Hollow deed restrictions as set
forth by FW-SH, Ltd. (Stone Hollow Addition developers)
•        Encourage residents and property owners to maintain their homes and yards in order to preserve property
values and discourage crime
•        Create a greater sense of community in the SHNA by encouraging cooperation and increasing neighborhood
pride.  This includes, but is not limited to, “yard of the month”, holiday decoration contests, and neighborhood social
events
•        Perform such other duties as requested by the President or Executive Committee

Section 6.  Each officer shall deliver to his or her successor within fifteen (15) days after retiring from office, all
records, papers, and other property belonging to the Association

Article XII – Parliamentary Authority

The rules contained in the current addition of Robert’s Rules of Order Newly Revised shall govern all proceedings of
the Association.

Article XIII – Amendments

These bylaws may be amended by a two-thirds (2/3) affirmative vote of the regular and associate members present
and voting at a regular meeting, provided that notice of such an amendment has been given to the membership at a
previous regular meeting.  A full text of such an amendment shall be mailed to all members at least ten (10) days
prior to the date the amendment will be considered


Article XIV – Dissolution

SHNA may be dissolved in the same manner as the procedure outlined in Article XIII, provided that the dispersement
of all monies and properties be acted upon prior to dissolution, and in accordance with the requirements of the Texas
non-profit Corporation Act then in existence

Deed Restrictions for Stone Hollow.  FH-SW (Declarant) shall designate and appoint an Architectural Controll
Committee composed of 3 individuals.  The purpose of the committee is to promote and ensure a high level of taste,
design, quality, harmony and conformity throughout the addition consistent with the deed restrictions.  This committee
shall cease to exist when residences have been constructed on all lots in the addition, provided, however, that at any
time thereafter the then record owners of a majority of the lots in the addition shall have the authority to record an
instrument which extends the period of the committee’s authority and establishes an election or appointment
procedure where by the committee members shall be chosen.

•        Single-Family Use.  Each residence may be occupied by only one family consisting of persons related by blood,
adoption or marriage or no more than two unrelated persons living and cooking together as a single housekeeping
unit, together with any household servants

•        Trucks with tonnage in excess of one ton and any vehicle with painted advertisement shall not be permitted to
park overnight within the addition except those used by a builder during the construction of improvements

•        No lot or improvement shall be used for business, professional, commercial or manufacturing purposes of any
kind.  No activity, whether for profit or not, shall be conducted which is not related to single-family residential
purposes.  No noxious or offensive activity shall be undertaken within the Addition, nor shall anything be done which
is or may become an annoyance or nuisance to the neighborhood

•        The owner and occupant of each lot shall maintain the yards in a sanitary and attractive manner and shall edge
the street curbs that run along the property line.  Grass, weeds and vegetation on each lot must be kept mowed at
regular intervals so as to maintain the property in a neat and attractive manner.  No owners shall permit weeds or
grass to grow to a height of greater than six (6) inches upon his property.  Upon failure of any owner to maintain any
lot, Declarant or its assigns may, at its option, have the grass, weeds and vegetation cut as often as necessary in its
judgement, and the owner of such property shall be obligated, when presented with an itemized statement to
reimburse Declarant for the cost of such work.  

Code Compliance Restrictions for Fort Worth:
•        No vehicular traffic shall be generated by the home occupation business in greater volumes than would
reasonably be expected in the residential neighborhood or create unreasonable parking or traffic congestion for the
abutting or adjoining neighbors or for the immediate neighborhood. Any parking of vehicles must be consistent with
city ordinances. Any parking or traffic of such character, intensity and continued duration, which substantially
interferes with the comfortable enjoyment of private homes by persons of ordinary sensibilities, shall be considered
unreasonable. It shall be a defense to prosecution under this subsection that the parking or traffic created was
reasonable under the totality of the circumstances existing in the neighborhood. Upon request of the residents of the
neighborhood, a representative from the Transportation and Public Works Department shall review the traffic impacts
to the neighborhood and, if applicable, refer the review to the traffic management program.  Any person, firm, or
corporation who violates, disobeys, omits, neglects or refuses to comply with or who resists the enforcement of any of
the provisions of this ordinance shall be fined not more than Two Thousand Dollars ($2,000.00) for each offense.
Each day that a violation exists shall constitute a separate offense.

•        It is unlawful to park any oversized commercial vehicle, with a gross weight of at least 15,000 pounds (or any
vehicle designed to carry more than 15 passengers) on any residentially zoned property, including any portion of a
front yard, side yard or rear yard. These vehicles can include: dump trucks, semi-truck-tractors, concrete mixing
trucks, stake-bed trucks, buses, or trailers that are more than 20 feet end to end and more than seven feet at their
widest point, or more than seven feet in height.
